Terms of Use
1. About NearoMarket and Acceptance
NearoMarket (“NearoMarket”, “we”, “our”, or “us”) is a technology-enabled hyperlocal marketplace that helps residents of participating communities discover independent vendors, place orders, and arrange deliveries through participating delivery partners. NearoMarket is currently operated by an individual as a pilot service. Operator identification, correspondence address and named grievance officer details will be provided where required by applicable law, including on request by a competent authority.
These Terms govern access to and use of the platform. Users accept these Terms through the applicable affirmative acceptance mechanism during registration or when updated Terms require renewed acceptance. Merely visiting the public website does not automatically constitute acceptance of contractual obligations. Additional terms specifically accepted by vendors or delivery partners form part of their respective arrangements. These Terms should be read with the Privacy Policy at https://nearomarket.com/privacy and the account-deletion information at https://nearomarket.com/delete-account.
Users must be at least 18 years old and legally competent to enter applicable agreements. NearoMarket may restrict access to eligible participants of supported residential communities.
2. Marketplace Role and Independent Sellers
NearoMarket facilitates discovery, ordering, communications, delivery coordination and related platform administration. Unless specifically identified otherwise in a transaction, the independent vendor is the seller of the listed goods and is responsible for product descriptions, availability, legal compliance, quality, safety, packaging, pricing, invoices where required, and consumer remedies attributable to the sale.
A resident’s contract for purchase of goods is generally with the relevant vendor. NearoMarket does not ordinarily take title to, manufacture, or stock listed goods. This allocation of roles does not exclude any responsibility imposed on NearoMarket by applicable consumer-protection, privacy, e-commerce or other law.
Delivery partners perform delivery-related activities under applicable platform arrangements. Their designation as independent participants does not override any employment or other legal classification determined by applicable law and the factual relationship.
3. Registration, Eligibility and Account Security
Provide accurate and current registration, society, tower/flat and contact information; do not impersonate another person or use an account without authorisation.
Residents must be eligible to use the selected community. Vendors and delivery partners are subject to platform approval and any applicable operating requirements.
Keep passwords and verification codes confidential. Report suspected compromise promptly. NearoMarket may require additional verification for sensitive actions. Where implemented, authentication attempts may be subject to rate limits or temporary restrictions.
You are responsible for activity you authorise through your account. This does not remove NearoMarket’s responsibilities where losses arise from its own legally attributable acts or omissions.
4. Listings, Orders and Delivery
Vendor listings, descriptions, images, availability and preparation estimates originate from vendors and may change. Ordering is available only when the relevant vendor and platform permit checkout; a closed shop may remain browsable without accepting new orders. Each order is placed with one vendor. The total amount and applicable charges should be reviewed before confirmation.
An order request is subject to vendor acceptance, availability and the applicable order workflow. Orders may be rejected or cancelled where permitted by displayed policies and applicable law. Ordering is available only during the operating hours shown in the app, which may change. Orders that are not accepted by the vendor, or not assigned to a delivery partner, within the applicable time limits may be cancelled automatically, and the resident and vendor will be notified. Delivery availability and estimated delivery times may vary.
Residents should provide accurate delivery details, remain reasonably reachable for handover, and promptly report order problems. Failed delivery attempts, unavailable recipients, and unresolved order issues may be recorded and addressed through the platform’s operational and dispute procedures. Delivery estimates are not unconditional guarantees.
5. Payments, Charges and Payment Evidence
Residents pay the relevant vendor directly using the UPI details or QR code provided for the order, subject to payment options actually offered in the app. The amount presented at checkout may include item charges and applicable delivery or platform charges payable to the vendor under the pilot model. NearoMarket does not ordinarily receive, hold or settle the resident-to-vendor purchase payment. Users should verify the intended recipient and amount before authorising any payment.
Vendors are responsible for confirming whether payment has actually been received. A screenshot or photographed payment confirmation does not independently establish receipt of cleared funds. NearoMarket may support investigation of discrepancies but does not guarantee a payment, transfer, chargeback or refund outcome.
As part of the standard delivery process, a delivery partner is generally required to capture or upload the resident’s payment-confirmation image. Where a photograph cannot be obtained, the platform may permit a documented exception with a mandatory reason. The collection and restricted administrative access to these records are described in our Privacy Policy and relevant checkout notice.
Vendors owe NearoMarket the commission, platform charges and delivery charges collected on NearoMarket's behalf, as shown in the Vendor app and in the vendor's monthly statements. The commission rate, any introductory free-order allowance, fee amounts and due dates are those displayed in the Vendor app. By accepting the commission terms at registration, the vendor agrees to this arrangement. NearoMarket will give notice of changes through the app or other appropriate means, and a change applies to orders delivered after it takes effect.
6. Cancellations, Returns, Refunds and Complaints
In the app, a resident can cancel an order only until the vendor accepts or rejects it. Once the vendor has accepted an order, it can be cancelled only by the vendor. If you need an accepted order cancelled, please contact the vendor or support@nearomarket.com. A vendor may reject an order before accepting it, and may cancel an accepted order before it is out for delivery. Nothing in this section limits rights you have under applicable consumer-protection law.
Cancellation, return and refund entitlements depend on the type of goods, the circumstances, the terms disclosed for the order, and applicable law. Vendors must honour mandatory consumer rights, including remedies for defective, deficient, misdescribed, unsafe or otherwise non-compliant goods where required by law. A vendor policy cannot override statutory rights.
Residents should report concerns promptly through available support channels and provide relevant order details. NearoMarket may facilitate communication or investigate platform-related records, but it does not promise to resolve every commercial disagreement in a party’s favour. Where a refund is owed, the responsible seller or payment recipient must arrange it through an appropriate channel, subject to applicable law.
7. Additional Vendor Responsibilities
Provide accurate, non-misleading product and shop listings; keep product availability, pricing, discounts and required information updated.
Supply only lawful, safe and permitted goods, with required food-safety registrations or licences, labelling, handling and packaging where applicable.
Do not include prohibited contact details or off-platform solicitation in fields where NearoMarket’s listing rules disallow them.
Confirm receipt of resident payments and cooperate with legitimate payment, delivery, consumer and platform investigations.
Pay applicable statements when due under accepted commercial terms; query discrepancies promptly. Unresolved charges may result in restrictions, subject to applicable law and review.
Submit required changes to shop, location and payment details for the applicable approval workflow. Critical pending changes may require the shop to remain closed until approved.
Respect residents’ privacy and use any information lawfully obtained through an order only for authorised fulfilment or support purposes.
Specific commission rates, introductory waivers, fee schedules and due dates are as displayed in the Vendor app and in monthly statements, as described in Section 5.
8. Additional Delivery Partner Responsibilities
Use assigned order and contact information solely for authorised pickup, handover, communication and support functions.
Handle goods with reasonable care, follow applicable safety requirements and accurately record pickup, delivery, failed attempts and returns.
Collect the required payment-confirmation evidence or record an authorised waiver reason when the workflow permits; do not retain or share residents’ payment details for unrelated purposes.
Contact residents or vendors only as reasonably necessary for assigned deliveries and do not misuse phone numbers or addresses.
Complete or appropriately resolve outstanding delivery and return obligations before seeking automatic account deletion where required by the platform workflow.
Delivery partners provide delivery services under arrangements agreed with NearoMarket. The apps do not process payments to delivery partners, and these Terms do not by themselves create a payment arrangement.
9. Acceptable Use and Prohibited Activities
Users must not submit false or misleading information; impersonate others; harass, threaten or discriminate against participants; offer illegal, restricted, counterfeit or unsafe goods; misuse personal or financial information; interfere with the platform; scrape or access data without authorisation; distribute malicious software; manipulate fees or orders; or engage in fraud. NearoMarket may investigate and take proportionate action, including listing removal, temporary restriction or account suspension, subject to applicable law and available review processes.
10. User Content and Intellectual Property
Users retain any rights they hold in original photographs, descriptions and other content they submit. By uploading content, users grant NearoMarket a non-exclusive, worldwide, royalty-free licence, for the period reasonably required, to host, reproduce, resize, display and distribute that content only as necessary to operate, promote relevant listings within the platform, secure and improve the service, and comply with lawful obligations. This licence does not authorise selling personal information or unrelated exploitation of payment-confirmation photographs.
Users represent that they have appropriate rights and permissions to upload content and must avoid infringing third-party rights. NearoMarket may remove unlawful or policy-violating content where appropriate. NearoMarket names, branding, app content and software remain protected by applicable intellectual-property rights.
11. Privacy and Account Deletion
Personal information is handled as described in the Privacy Policy. Eligible users may request account deletion within the relevant app, subject to identity verification and resolution of applicable outstanding matters, or through support@nearomarket.com. Certain limited transaction, billing and legal records may remain where lawfully justified. See https://nearomarket.com/delete-account for the applicable procedures.
12. Suspension, Service Changes and Availability
NearoMarket may reasonably modify features, limit availability, suspend listings, or restrict access to address security risks, service misuse, legal obligations, operational disruptions or material Terms violations. Where appropriate and legally required, users will receive notice and an opportunity to address an issue. NearoMarket may discontinue pilot services or expand to additional communities, subject to applicable obligations concerning pending orders, user information and lawful commitments.
13. Disclaimers and Allocation of Responsibility
The platform is provided using reasonable care and subject to maintenance, technical interruptions and third-party dependencies. To the extent permitted by law, NearoMarket does not make a blanket guarantee of uninterrupted availability, vendor stock, product suitability, delivery estimates, or the performance of independent participants.
Independent vendors remain primarily responsible for goods they sell and legally required consumer remedies. Delivery partners remain responsible for their conduct to the extent provided by law and relevant arrangements. No provision of these Terms excludes liability or rights that cannot legally be excluded, including mandatory consumer protections or liability for NearoMarket’s own legally attributable acts or omissions.
Any exclusion or limitation of NearoMarket’s liability applies only to the extent permitted by applicable law.
14. Grievances and Dispute Resolution
For order-related, account-related, security or contractual concerns, contact support@nearomarket.com and include the relevant order or account reference where appropriate. Users should not send passwords, OTPs or UPI PINs.
NearoMarket will handle complaints in accordance with applicable law. Where the Consumer Protection (E-Commerce) Rules or other mandatory rules apply, legally prescribed grievance-officer disclosures and acknowledgement/redress timelines will take precedence over any internal service targets. Grievance contact: NearoMarket Grievance Team, support@nearomarket.com. We aim to acknowledge complaints within 48 hours and to resolve them within one month, or sooner where the law requires.
Users retain their right to approach competent consumer, regulatory or judicial authorities where available under law. Informal support or mediation does not extinguish mandatory remedies.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to applicable statutory jurisdiction and consumer rights, disputes may be referred to courts or authorities having jurisdiction under law.
16. Changes to These Terms
NearoMarket may update these Terms to reflect legal requirements, business operations, technical changes or platform functionality. The current version and effective date will be posted on the official website. Material changes will be notified through appropriate channels and affirmative acceptance obtained where required by law or the nature of the change. Continued use alone will not substitute for legally required consent or acceptance.
